Terms of Service

1. Agreement to Terms
By accessing or using EdLight Code (the "Platform"), operated by EdLight Labs ("EdLight," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree, you must immediately stop using the Platform. These Terms constitute a legally binding agreement between you and EdLight Labs.
2. Eligibility
You must be at least 13 years old to use the Platform. If you are under 18, you represent that you have obtained your parent's or legal guardian's permission. By using the Platform you represent and warrant that you have the full legal capacity to enter into these Terms.
3. Acceptable Use
You may use the Platform for lawful educational purposes only. You agree not to:
- Share, sell, or transfer your account credentials to any third party
- Submit work that is not your own for certification or evaluation
- Circumvent any security, access control, or authentication measures
- Distribute malicious code, spam, or unauthorized advertising through the Platform
- Initiate fraudulent chargebacks or bad-faith payment disputes
- Scrape, copy, or republish Platform content without written permission from EdLight
- Harass, threaten, or harm other users or EdLight personnel
- Reverse-engineer, decompile, or attempt to extract the Platform's source code
4. Free and Paid Services
EdLight Code offers both free and paid services:
- Most learning resources, including lessons, exercises, and projects, are free to access
- Official certificates of completion require a fee
- Some premium tracks or advanced content may require payment
- Pricing is clearly displayed before any purchase
EdLight reserves the right to change pricing, modify, suspend, or discontinue any service at any time without prior notice. Price changes will not affect purchases already completed.
5. Payment Processing
All transactions are handled securely by third-party payment processors:
- MonCash – mobile money payments in Haiti
- NatCash – mobile money payments in Haiti
- SogePay – card and mobile payments in Haiti
- Stripe – international card payments outside Haiti
By completing a payment, you agree to the applicable processor's terms and privacy policy. EdLight Labs does not store your full card details or mobile money PINs on its servers. EdLight is not liable for errors, delays, or failures attributable to third-party payment processors.
6. Refund Policy
Due to the digital nature of our services, all sales are generally final. Specifically:
- Certificate fees are non-refundable once a certificate has been issued
- Track or pathway access fees are non-refundable once content has been accessed
- Refund requests for documented technical issues must be submitted within 7 days of purchase
- Approved refunds are processed via the original payment method within 10–14 business days
To request a refund, contact us at labs@edlight.org with your transaction ID, email address, and a description of the issue. EdLight reserves the right to deny requests that do not meet the above criteria.
7. Chargebacks and Disputes
You agree to contact EdLight before initiating any chargeback or payment dispute with your bank or payment provider. Unauthorized chargebacks constitute a material breach of these Terms. EdLight reserves the right to: (a) immediately suspend or permanently terminate your account; (b) revoke all certificates associated with your account; (c) pursue recovery of the disputed amount plus all associated fees, costs, and damages; and (d) report fraudulent chargebacks to relevant authorities or credit agencies. EdLight will vigorously contest any chargeback it determines to be fraudulent or made in bad faith.
8. Certificates
Certificates are issued upon verified completion of a learning track and payment of applicable fees. Certificates are personal credentials tied to your verified account. You agree not to misrepresent, falsify, alter, or transfer certificates to any third party. EdLight reserves the right to revoke any certificate at any time if it was obtained through fraud, academic dishonesty, or violation of these Terms, or if we determine that the underlying work was not completed authentically. Revoked certificates will be marked invalid in our public verification system. EdLight certificates are educational credentials and do not constitute professional licenses or formal accreditation unless explicitly stated.
9. Intellectual Property
All content on the Platform — including but not limited to course materials, lessons, exercises, projects, assessments, graphics, software, design elements, and brand assets — is the exclusive property of EdLight Labs or its licensed creators and is protected by applicable copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use content solely for your personal, non-commercial educational purposes. You may not reproduce, copy, sell, sublicense, distribute, publicly display, create derivative works from, or otherwise exploit any part of the Platform or its content without EdLight's prior written consent. Unauthorized use of EdLight's intellectual property may result in account termination and legal action.
10. User Content
You retain ownership of code and content you submit. However, by submitting content you grant EdLight Labs a worldwide, royalty-free, non-exclusive, sublicensable license to use, display, reproduce, and analyze your submissions solely to operate the Platform, improve our services, and provide feedback. You represent and warrant that your submissions do not infringe any third-party rights. EdLight reserves the right to remove any content that violates these Terms or that we deem harmful or inappropriate, at any time and without notice.
11. Disclaimers
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. EDLIGHT DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) DEFECTS WILL BE CORRECTED; (C) CONTENT IS ACCURATE, COMPLETE, OR CURRENT; OR (D) THE PLATFORM IS FREE OF VIRUSES OR HARMFUL COMPONENTS. CONTENT ON THIS PLATFORM DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, FINANCIAL, OR CAREER ADVICE.
12. Indemnification
You agree to indemnify, defend, and hold harmless EdLight Labs and its officers, directors, employees, contractors, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit. EdLight reserves the right to assume exclusive control of any matter subject to indemnification at your expense.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDLIGHT LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF EDLIGHT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EDLIGHT'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO EDLIGHT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Account Termination
EdLight may suspend or permanently terminate your account at its sole discretion, with or without notice, for any reason including but not limited to: violation of these Terms, fraudulent activity, abusive behavior, non-payment, or platform misuse. Upon termination: (a) your right to access the Platform immediately ceases; (b) your account data may be deleted; and (c) fees paid are non-refundable except as required by applicable law. Termination does not release you from obligations or liabilities incurred before termination.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Haiti, without regard to its conflict of law provisions. Where Haitian law is silent, internationally recognized commercial law principles may apply. You agree to submit to the exclusive jurisdiction of competent courts in Haiti for any dispute arising under these Terms.
16. Severability and Entire Agreement
If any provision of these Terms is found unenforceable or invalid, it will be modified to the minimum extent necessary to make it enforceable, or severed, without affecting the remaining provisions. These Terms, together with our Privacy Policy, constitute the entire agreement between you and EdLight Labs regarding the Platform and supersede all prior understandings. No waiver by EdLight of any breach shall be deemed a waiver of any subsequent breach.
17. Changes to These Terms
EdLight reserves the right to modify these Terms at any time. We will notify users of material changes via email or platform notification at least 14 days before they take effect where reasonably practicable. Your continued use of the Platform after such notice constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
18. Additional Terms for Quebec Residents
EdLight Labs is registered in Quebec. In addition to these Terms, Quebec residents benefit from the following additional protections under Quebec law:
- Consumer Protection Act (CPA): The Quebec Consumer Protection Act (Loi sur la protection du consommateur) applies to contracts concluded at a distance with Quebec consumers. Where the CPA grants rights that exceed those in these Terms, the CPA prevails.
- Right of Cancellation (Distance Contracts): Under CPA Art. 54.8, Quebec consumers have a 7-day right to cancel a distance contract without penalty. However, this right does not apply to digital content (lessons, courses, certificates) once the content has been made available to you and you have begun to access it, pursuant to CPA Art. 54.12(4). If you have not yet accessed the content, you may request cancellation within 7 days of purchase by contacting labs@edlight.org.
- French Language Rights (Bill 96 / Charter of the French Language): Quebec residents have the right to receive contracts, communications, and customer service in French. These Terms are available in French. To request any document or communication in French, contact labs@edlight.org.
- Dispute Resolution: Quebec consumers may also contact the Office de la protection du consommateur (OPC) at www.opc.gouv.qc.ca or call 1-888-672-2556 to file a complaint or obtain information about their rights.
- Governing Law (Quebec): For Quebec residents, these Terms are additionally governed by the laws of Quebec and the federal laws of Canada applicable therein, including the Consumer Protection Act, the Civil Code of Quebec, and the Charter of the French Language.
